Terms of Service

These Terms of Service (“Terms”) govern your use of the websites, products, and APIs provided by Argix Technologies, Inc. (“Argix”, “we”, “us”). By accessing the services, you agree to these Terms on your own behalf and on behalf of the organisation you represent.

Accounts

You are responsible for maintaining the confidentiality of your credentials and for all activity that occurs under your account. You must notify us promptly of any suspected unauthorised access.

Acceptable use

You agree not to use the services to violate any law, infringe intellectual property rights, harass any person, or interfere with the integrity of our systems. We reserve the right to suspend access for material breach pending investigation.

Customer data

As between the parties, you own the data you submit to the services. You grant Argix a limited licence to process that data solely to deliver the services and comply with applicable law. Our handling of personal data is described in our Privacy Policy.

Fees and payment

Fees are stated in your order form or the published pricing applicable at signup. Unless otherwise agreed, fees are invoiced monthly in arrears and are due within 30 days of the invoice date. Past-due amounts accrue interest at the lesser of 1.5% per month or the maximum permitted by law.

Service levels

Production service-level commitments are stated in the SLA accompanying your order form. Service credits are the sole and exclusive remedy for any failure to meet the service levels.

Intellectual property

Argix and its licensors retain all right, title, and interest in and to the services, including all underlying software, models, and documentation. No rights are granted by implication or estoppel.

Confidentiality

Each party agrees to protect the other's confidential information using at least the standard of care it uses to protect its own confidential information, and not less than reasonable care.

Disclaimers

The services are provided “as is” and “as available”. To the maximum extent permitted by law, Argix disclaims all warranties, whether express or implied, including merchantability, fitness for a particular purpose, and non-infringement.

Limitation of liability

To the maximum extent permitted by law, neither party shall be liable for any indirect, incidental, consequential, special, or punitive damages, or for lost profits, revenues, or data. Each party's total aggregate liability arising out of or related to these Terms shall not exceed the fees paid or payable in the twelve months preceding the event giving rise to the claim.

Termination

Either party may terminate for material breach not cured within 30 days of written notice. Upon termination we will, on written request and within 60 days, return or delete customer data in our possession in accordance with the Privacy Policy.

Governing law

These Terms are governed by the laws of the State of California, excluding its conflict-of-laws rules. Disputes shall be resolved exclusively in the state and federal courts located in San Francisco, California.

Changes

We may revise these Terms from time to time. Material changes will be announced at least 30 days before they take effect. Continued use of the services after the effective date constitutes acceptance of the updated Terms.
